1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website located at whitespacestudio.ph (the "Site") and the services provided by White Space Studio Inc., a Hawaii corporation ("White Space Studio," "we," "us," or "our").

By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or services.

2. Our Services

White Space Studio provides professional website design, development, and related services to businesses in the Philippines and internationally. Our primary service offering includes:

• Website design and development
• Monthly website subscription plans starting at ₱4,500/month
• Domain registration and management (qualified domains)
• Professional email setup
• Website hosting and maintenance
• Monthly website updates (1 hour included per month)
• Mobile-responsive design and SEO foundations

3. Subscription Terms

3.1 Pricing and Payment

Our monthly subscription plan is priced at ₱4,500/month (Philippine Pesos) and includes:

• Website design and development
• Free domain name (for qualified domains; premium domains may incur additional costs)
• Free professional email address (limited time offer)
• Website hosting
• 1 hour of monthly updates
• Mobile-first, SEO-ready design

Payment is due monthly in advance. We accept major credit cards, PayPal, and other payment methods as specified during the checkout process.

3.2 No Contracts, Month-to-Month

Our subscription service operates on a month-to-month basis with no long-term contracts. You may cancel your subscription at any time with 30 days' written notice.

3.3 Cancellation and Refunds

You may cancel your subscription at any time by providing 30 days' written notice to hello@whitespacestudio.ph. Cancellation will take effect at the end of your current billing cycle.

Refund Policy:

• We offer a 30-day satisfaction guarantee on design for new clients
• No refunds are provided for partial months of service
• Monthly subscription fees are non-refundable after the billing cycle begins
• Setup fees (if any) are non-refundable once work has commenced

3.4 Service Suspension

We reserve the right to suspend or terminate your service if payment is not received within 15 days of the due date, or if you violate these Terms. We will provide advance notice before suspension when reasonably possible.

4. Service Delivery

We aim to deliver your website within 24 hours of receiving all necessary information, content, and assets from you. However, delivery timelines may vary based on:

• Project complexity and scope
• Availability of required information and materials from you
• Technical requirements or third-party dependencies
• Revisions and feedback cycles

The 24-hour delivery timeline is a target, not a guarantee. Delays caused by client-side factors (delayed content, feedback, approvals) are not our responsibility.

5. Your Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your website
• Provide timely feedback and approvals
• Ensure you have rights to all content, images, and materials you provide
• Make timely payments according to the agreed schedule
• Comply with all applicable laws and regulations
• Not use our services for illegal, fraudulent, or harmful purposes
• Maintain the confidentiality of your account credentials

6. Intellectual Property and Ownership

6.1 Your Content

You retain all ownership rights to content, images, logos, and materials you provide to us ("Client Content"). By providing Client Content, you grant us a limited license to use, reproduce, and display such content solely for the purpose of providing our services.

6.2 Our Work Product

Upon full payment of all fees, you will own the custom design elements and content we create specifically for your website. However:

• We retain ownership of our proprietary tools, frameworks, and code libraries
• We retain the right to use general techniques, concepts, and know-how gained from our work
• We may showcase your website in our portfolio unless you request otherwise

6.3 Third-Party Assets

Your website may include third-party components (fonts, icons, stock images, plugins) that are subject to separate licenses. You agree to comply with all applicable third-party licenses.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that your website will achieve specific business results, search engine rankings, traffic levels, or revenue targets. Website performance depends on many factors beyond our control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHITE SPACE STUDIO INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the amount you paid us in the 3 months immediately preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless White Space Studio Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Content you provide to us

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii and the United States of America, without regard to conflict of law principles.

10.2 Jurisdiction and Venue

Any disputes arising from or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Hawaii, USA. You consent to the personal jurisdiction of such courts and waive any objection to venue.

10.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at hello@whitespacestudio.ph to attempt to resolve the dispute informally.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy and any other written agreement between you and White Space Studio Inc., constitute the entire agreement between you and us regarding our services and supersede all prior agreements and understandings.
